1. Who we are and definitions
These Terms of Use and End User Licence Agreement (“Terms”) are a legally binding agreement between you and Bien-Etre Diagnostics FZCO, trading as Bien Etre and/or SkinIQ, a company registered in IFZA, Dubai, United Arab Emirates, licence number 66538, registered office DSO-IFZA, Dubai (“Bien Etre”, “SkinIQ”, “we”, “us”). “App” means the Bien Etre and/or SkinIQ mobile application and any updates. “Services” means the App, the free face scan and skin readings, the SkinIQ Score and forecasts, the SkinIQ Coach, the Membership (including the quarterly blood panel), the in-App marketplace, partner-clinic bookings, our website and related support. “Member” means a user with an active paid Membership. “Content” means all text, images, scores, readings, forecasts, recommendations, software, designs and other material made available through the Services.
2. Eligibility and your account
- You must be at least 18 years old and able to enter into a binding contract. By using the Services you confirm that you meet this requirement. We may suspend or close accounts we reasonably believe belong to a person under 18.
- You must provide accurate information, keep it up to date, keep your login credentials confidential, and tell us promptly at [email protected] if you suspect unauthorised use. You are responsible for all activity under your account.
- One account per person. You may not transfer your account or use another person’s account, or scan another person’s face without that person’s knowledge and consent (and never a child’s).
- The Services are currently offered for use in the United Arab Emirates (marketplace delivery, blood panels and clinic bookings) and, for the scan and Coach features only, in the United Kingdom and other territories where the App is listed. Product delivery and blood-panel collection are available only at addresses within the UAE unless the App says otherwise.

4. Licence to use the App
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the App on a mobile device that you own or control, solely for your personal, non-commercial use. All other rights are reserved. You may not (a) copy, modify, translate, reverse-engineer, decompile or create derivative works of the App or its analysis engine except as permitted by law; (b) rent, lease, sell, sublicense or otherwise commercially exploit the Services; (c) use automated means to access the Services or extract data; (d) use the Services to build a competing product, to benchmark our models, or to train any machine-learning system; (e) interfere with the security or operation of the Services; or (f) use the Services in breach of applicable law, including UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.
5. Free scan and Content
The free tier lets you take a face scan, receive skin readings and a SkinIQ Score, and browse product suggestions. We may change, limit or withdraw free features at any time. Content is provided for your personal information only. We do not guarantee that Content is accurate, complete or current. The Content includes brand and product descriptions supplied by third parties, for which those third parties are responsible.
6. Membership subscriptions
- What is included. The SkinIQ Member tier (currently AED 299 per quarter, billed quarterly, or the local-currency equivalent shown in the store) includes a quarterly blood panel with home or partner-site sample collection in the UAE, the SkinIQ Coach, skin-health scoring and re-testing every 90 days, a 4-hour delivery window for marketplace orders within UAE areas, and Member benefits at partner clinics as described in the App. Inclusions may change; we will give you at least 30 days’ notice of material reductions.
- Billing through the app stores. Memberships are purchased through Apple’s App Store or Google Play as in-app subscriptions and are billed to the payment method on file with your store account. Your Membership renews automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the end of the current period. Apple and Google, not SkinIQ, process the payment and control the billing date, currency conversion and receipts.
- Cancelling. Cancel at any time in your App Store subscription settings (Settings → Apple ID → Subscriptions) or Google Play (Play Store → Payments & subscriptions). Deleting the App or your SkinIQ account does not cancel a store subscription. Cancellation takes effect at the end of the current paid period; you keep Member access until then.
- Free trials and promotional pricing. If offered, a trial converts to a paid Membership automatically unless cancelled before the trial ends. Promotional prices revert to the standard price at renewal unless stated otherwise.
- Price changes. We may change the Membership price with at least 30 days’ notice through the App or the store. Under store rules you may be asked to agree to the new price; if you do not, your Membership will end at the close of the current period.
- Refunds. Refund requests for store purchases are handled by Apple or Google under their policies; we cannot issue store refunds directly. Where you have a statutory right to cancel (for example, under UK consumer law within 14 days of purchase), that right is preserved, save that you acknowledge that once a blood-panel kit has been dispatched or a sample analysed the service has begun at your request and a proportionate deduction may be made.
- Blood panel timing. The first panel is initiated after your Membership starts; subsequent panels are offered approximately every 90 days while your Membership is active. Unused panels do not accumulate and are not refundable in cash. Sample collection requires you to follow the kit instructions or attend a partner collection site; a sample that cannot be analysed for reasons within your control (for example insufficient sample or failure to attend) may be re-collected once per cycle at our discretion.
7. Marketplace orders and delivery
- Sellers. Products in the marketplace are sold by Bien Etre Diagnostics FZCO or by third-party brands with SkinIQ acting as marketplace operator. The seller’s identity is shown at checkout and on your invoice. Products are supplied by authorised brand partners and comply, to the seller’s knowledge, with applicable UAE cosmetic-product registration requirements.
- Ordering. An order is an offer to purchase; a contract is formed when we send an order confirmation. We may decline or cancel orders for stock, pricing-error, fraud-prevention or compliance reasons and will refund any amount paid. Prices are shown in AED inclusive of VAT; delivery charges, if any, are shown before you confirm.
- Payment. Product purchases are paid via our card processor or other methods shown at checkout. Physical products are not sold through Apple or Google in-app purchase.
- Delivery. Delivery is available within the UAE to the address you provide. The 4-hour delivery window applies to Members in the areas listed in the App and to orders placed within the stated cut-off times; otherwise standard delivery estimates apply. Risk passes to you on delivery. Delivery times are estimates and delays may occur; we are not liable for delays outside our reasonable control.
- Returns and refunds. You may return unopened, unused products in their original sealed packaging within 14 days of delivery for a refund or exchange, in accordance with UAE Federal Law No. 15 of 2020 on Consumer Protection and its regulations. For hygiene and safety reasons, opened or used skincare products cannot be returned unless faulty. Faulty, damaged or incorrect items will be replaced or refunded; contact [email protected] within 3 days of delivery with photographs. Your statutory rights are not affected.
- Product use. Products are cosmetics for external use. Read the label and ingredient list, check for ingredients you are sensitive or allergic to, patch-test before first use, and discontinue if irritation occurs. Product suggestions are not a representation that a product is suitable for you.
8. Partner clinics and treatments
Where the App lets you book treatments at partner clinics (for example Kaya Skin Clinic), the treatment is provided by the clinic under its own terms, licence and professional responsibility. SkinIQ acts only as a booking intermediary, receives no share of clinical decision-making, and is not liable for treatments provided by clinics. Any benefits shown in the App are subject to the clinic’s availability and conditions.
9. Connected devices and third-party platforms
You may connect Apple Health or Android Health Connect to the App. Those platforms are provided by Apple and Google under their own terms; we are not responsible for their availability or accuracy. Data you authorise is used as described in our Privacy Policy. Disconnecting a platform may reduce the accuracy of forecasts.
10. Your content and data
- You retain ownership of the photographs and information you submit. You grant SkinIQ a worldwide, non-exclusive, royalty-free licence to store, process, analyse and display that content solely to provide and improve the Services in accordance with our Privacy Policy. Use of identifiable images for model improvement requires your separate opt-in.
- You confirm that any image you submit is of your own face, that you are entitled to submit it, and that it does not include any other person.
- We may generate and use anonymised and aggregated data derived from use of the Services (for example population-level skin-trend statistics) for any lawful purpose, provided it cannot reasonably be used to identify you.
- If you post reviews, comments or other public content, you grant us a licence to use them in connection with the Services and you must not post content that is unlawful, defamatory, misleading, infringing or that contains another person’s personal data.
11. Acceptable use
You agree not to: use the Services for any unlawful purpose or in breach of these Terms; upload malicious code; harvest data about other users; misrepresent your identity or affiliation; use the Coach to seek or provide medical diagnosis for yourself or others; resell or export products purchased through the marketplace; or use the Services in a way that could damage, disable or impair them. We may remove content, suspend features or terminate accounts that breach this Section.
12. Intellectual property
The App, the SkinIQ Predictive Health Intelligence Engine, the SkinIQ Score and scoring methodology, the trade marks SkinIQ and Bien-Être, and all Content (other than your content and third-party brand materials) are owned by or licensed to Bien-Etre Diagnostics FZCO and are protected by UAE Federal Decree-Law No. 38 of 2021 on Copyright, Federal Decree-Law No. 36 of 2021 on Trademarks, and international treaties. Nothing in these Terms transfers any intellectual-property rights to you. If you send us feedback or suggestions you agree we may use them without obligation to you.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Services and Content are provided “as is” and “as available”. We do not warrant that the Services will be uninterrupted, error-free, secure or free of viruses; that readings, scores, forecasts, biomarkers, Coach responses or product suggestions will be accurate, reliable, complete or suitable for your needs; that using the Services or any product will achieve any particular skin outcome; or that defects will be corrected. We expressly disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions the exclusions apply only to the extent permitted. Nothing in these Terms limits your statutory rights as a consumer that cannot be excluded by contract, including under UAE Federal Law No. 15 of 2020 and, for UK consumers, the Consumer Rights Act 2015.
14. Limitation of liability
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
- Subject to the above, we shall not be liable for: any loss or damage arising from your reliance on any reading, score, forecast, biomarker result, Coach message, Content or product suggestion; any decision you make about your health, skin or skincare on the basis of the Services; any failure to detect a medical condition; treatments provided by partner clinics; products supplied by third-party sellers; loss of profits, revenue, data, goodwill or anticipated savings; or any indirect, incidental, special, consequential or punitive loss, in each case whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable.
- Subject to the above, our total aggregate liability to you arising out of or in connection with the Services in any 12-month period shall not exceed the greater of (a) the amounts you paid to us for the Services in that period and (b) AED 500.
- The App is not fault-tolerant and is not designed for use where failure could lead to death, personal injury or severe physical or environmental damage.
15. Indemnity
You agree to indemnify and hold harmless Bien Etre and/or SkinIQ, its affiliates, officers, employees and partners from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, your content, or your violation of any law or the rights of any third party.
16. Suspension and termination
You may stop using the Services and delete your account at any time in the App (Settings → Account → Delete account). We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, if we discontinue the Services, or for prolonged inactivity (after notice). On termination the licence in Section 4 ends and you must stop using the App; Sections 3, 10, 12–15, 17–19 survive. Termination does not affect accrued rights, and any refund for an unused Membership period is governed by the store’s policies and Section 6.
17. Changes to the Services and these Terms
We are continually developing the Services and may add, modify or withdraw features, readings, scoring methods, brands or partners. We may amend these Terms by posting the revised version in the App with a new effective date and, for material changes, by giving you at least 30 days’ notice by email or in-App message. If you do not accept a material change you may terminate your account before it takes effect; continued use after the effective date constitutes acceptance.
18. Governing law and disputes
- These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them or the Services are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai
- We encourage you to contact [email protected] first; most concerns can be resolved informally within 30 days.
- Subject to the paragraph below, the courts of DIFC shall have exclusive jurisdiction.
- Consumers outside the UAE. If you are a consumer resident in the United Kingdom or the European Economic Area, nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of your country of residence, or of your right to bring proceedings in the courts of your country of residence. EU consumers may also use the European Commission’s online dispute-resolution platform where available.
19. Store-specific terms
19.1 Apple App Store
If you downloaded the App from the Apple App Store, the following applies: (a) these Terms are between you and SkinIQ only, not Apple, and Apple is not responsible for the App or its content; (b) the licence in Section 4 is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the App Store Terms of Service, except that the App may be accessed by other accounts associated with you via Family Sharing or volume purchasing; (c) Apple has no obligation to furnish maintenance or support for the App; (d) in the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) to you, and to the maximum extent permitted by law Apple has no other warranty obligation; (e) Apple is not responsible for addressing any claims relating to the App, including product-liability claims, claims that the App fails to conform to legal or regulatory requirements, and consumer-protection or similar claims; (f) in the event of a third-party claim that the App infringes intellectual-property rights, SkinIQ, not Apple, is responsible for its investigation, defence, settlement and discharge; (g) you represent that you are not located in a country subject to a US Government embargo or designated a “terrorist supporting” country and are not on any US Government list of prohibited or restricted parties; (h) you must comply with applicable third-party terms when using the App; and (i) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
19.2 Google Play
If you downloaded the App from Google Play, you acknowledge that Google is not a party to these Terms, has no responsibility for the App, and that your use of Google Play is subject to the Google Play Terms of Service. Subscription billing, cancellation and refunds for in-app purchases are governed by Google Play’s policies.
20. General
- These Terms, the Privacy Policy and any order confirmation form the entire agreement between you and us regarding the Services.
- If any provision is held invalid, the remainder continues in effect. Our failure to enforce a right is not a waiver.
- You may not assign these Terms. We may assign them to an affiliate or successor on notice to you.
- We are not liable for delay or failure caused by events beyond our reasonable control.
- These Terms are written in English; if translated, the English version prevails to the extent permitted by law.
- Nothing in these Terms creates a partnership, agency or employment relationship.
